Company Incorporation & Business Structures in India

India offers several business structures -- private limited company, public limited company, One Person Company (OPC), and Limited Liability Partnership (LLP) -- with most companies now incorporated through the SPICe+ integrated form on the MCA21 portal, which bundles name reservation, incorporation, PAN/TAN, and statutory registrations into a single filing.

Common business structures

Private Limited Companies, Public Limited Companies, and One Person Companies (OPCs) are all incorporated under the Companies Act, 2013. Limited Liability Partnerships (LLPs) are governed by a separate statute, the Limited Liability Partnership Act, 2008, and combine partnership-style flexibility with limited liability for partners. A 2021 amendment to the Companies (Incorporation) Rules removed restrictions that previously limited OPC conversion based on paid-up capital or turnover, and also permitted non-resident Indians to incorporate an OPC -- a change directly relevant to NRIs setting up a wholly-owned Indian entity.

SPICe+ -- the integrated incorporation form

Most incorporations today go through SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus), an integrated web form on the MCA21 portal that bundles name reservation, the incorporation application, Director Identification Number (DIN) allotment, PAN and TAN application, and (through the linked AGILE-PRO-S form) EPFO, ESIC, Profession Tax registration (where applicable) and a bank account opening request, into a single filing rather than several separate applications. An NRI promoter should note that at least one director on the board still needs to satisfy the Companies Act's India-residency requirement, which in practice means either partnering with an India-resident co-founder or relative, or engaging a professional nominee director to fill that role.

Choosing between structures

The right structure depends on factors like the number of promoters, the need to raise external equity funding (private limited companies are generally preferred by investors), compliance appetite (LLPs have lighter ongoing compliance than companies), and liability protection (all four structures listed above offer limited liability, unlike a sole proprietorship or traditional partnership under the Indian Partnership Act, 1932). NRIs and foreign investors specifically should also factor in FDI-route eligibility when choosing a structure, since not every structure and sector combination is equally accessible under India's automatic FDI route, and a structure that looks simplest on paper can turn out to need government approval depending on the underlying business activity.

Can an NRI incorporate a One Person Company in India?

Yes -- a 2021 amendment to the Companies (Incorporation) Rules removed the earlier restriction that limited OPC incorporation to resident Indian citizens only, so NRIs can now incorporate an OPC, subject to meeting the other eligibility conditions under the rules.

What is the difference between a private limited company and an LLP?

Both offer limited liability, but a private limited company is governed by the Companies Act, 2013 (with more extensive compliance -- board meetings, statutory audits, ROC filings) and is generally preferred for raising equity investment, while an LLP under the LLP Act, 2008 has simpler compliance and is often chosen for professional services firms and smaller ventures not planning to raise institutional funding.

How long does it typically take to incorporate a company through SPICe+?

Timelines vary based on document readiness and Registrar processing, but the integrated SPICe+ form is designed to significantly shorten the process compared to filing multiple separate applications -- check the current MCA21 portal for indicative processing times, as these change with portal upgrades and filing volumes.
